Thosela provides U.S. LLC formation, registered agent, Employer Identification Number (EIN) application assistance, and ongoing compliance support (such as state annual reports and federal informational filings) for founders located outside the United States. The specific services included depend on the plan you select.
3. Eligibility
You must be at least 18 years old and have the legal capacity to enter into these Terms to use our services. You are responsible for ensuring that forming and operating a U.S. LLC is lawful in your country of residence.
4. Accuracy of Information
You agree to provide accurate, current, and complete information when engaging our services, including for identity verification and government filings. Providing false or misleading information may delay or invalidate your filings, and you are solely responsible for any resulting consequences.
5. Fees and Payment
Our service fees are listed on our Pricing page and are separate from any state filing fees, which are set by state governments and paid to them directly. Fees are due at the time of purchase unless otherwise agreed in writing. State and third-party fees are non-refundable once filings have been submitted.
6. No Legal, Tax, or Financial Advice
Thosela is a business formation and compliance service, not a law firm, accounting firm, or financial advisory service. Nothing on our website or in our communications constitutes legal, tax, or financial advice. You should consult a qualified attorney or accountant for advice specific to your situation.
7. Client Responsibilities
You are responsible for maintaining your LLC's ongoing compliance obligations that fall outside your selected plan, responding promptly to requests for information needed to complete filings on time, and keeping your contact details up to date so we can reach you about deadlines.
8. Limitation of Liability
To the fullest extent permitted by law, Thosela and its affiliates will not be liable for any indirect, incidental, or consequential damages arising from your use of our services. Our total liability for any claim will not exceed the amount you paid us for the service giving rise to the claim.
9. Intellectual Property
All content on our website, including text, graphics, logos, and design, is the property of Thosela or its licensors and may not be copied, reproduced, or used without our prior written permission.
10. Termination
We may suspend or terminate your access to our services if you violate these Terms or if required by law. You may stop using our services at any time; certain obligations (such as fees already incurred) will survive termination.
11. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
